Mr. Bartolotta brings to bear both his JD and MSBA Finance degrees in providing well-rounded, insightful legal services to his clients for all of their transactional matters.  Over his career, Mr. Bartolotta has developed expertise in both general business and finance, having worked in small firm, large firm and large municipality environments, as well as serving in the role of General Counsel and Vice President for two start-ups.  He has experience representing companies in capital market transactions, mergers and acquisitions, licensing, joint venture and commercial transactions, as well as financial institutions in work-out situations.  Mr. Bartolotta also has significant experience assisting his clients with their selection and then formation of business entities such as corporations, partnerships and limited liability companies.  Mr. Bartolotta handles corporate governance and general contract drafting and negotiation matters for his clients, as well.


Representative matters include:


  • Formed corporation and drafted governance documents, drafted website and in-app terms of use, privacy policy and registration agreement for developer of mobile social media broadcasting platform incorporating geolocation
  • Draft non-disclosure agreements, independent contractor agreements and proprietary information and inventions agreements for technology start-ups
  • Counsel start-up and going concern businesses with regard to financings, including convertible note offerings, series seed and series A preferred stock offerings
  • Negotiate and draft licensing and reseller agreements for technology companies
  • Drafted restricted stock plan for employees and contractors of start-up company
  • Served as Issuer’s Counsel on large municipality’s debt offerings for capital improvement projects, Mello-Roos community facilities districts, utilities, redevelopment and affordable housing projects including, but not limited to:
    –  Wastewater Refunding Bond issuances of approximately $720 million
    –  Pooled Successor Agency Refunding Bond issuances in excess of $300 million
    –  Affordable Housing Bond issuances totaling approximately $360 million
    –  Mello-Roos CFD Refunding and new money Bond issuances of approximately $70 million
  • As a part of its Disclosure Practices Working Group, reviewed and certified as to the accuracy of disclosures made by large municipality regarding its finances in annual reports, continuing disclosures and securities offering documents to ensure compliance with securities laws
  • Lead attorney for large municipality’s Treasurer’s Office regarding business tax appeals and general corporate issues involving various of its wholly-owned entities
  • Representation of businesses in both sales and purchases of assets
  • Drafted private placement memoranda and supporting documentation for Regulation D offerings of hybrid syndicated real estate tenants in common securities
  • Drafted business plan, financial model and offering documents for start-up credit card rewards company
  • Negotiated and drafted forbearance agreements on behalf of commercial lender clients
  • Reviewed and drafted documents for commercial and private real estate transactions
